Choose between Private Limited Company, LLP, One Person Company (OPC), or Partnership based on liability protection, fundraising needs, and compliance appetite. A CA can help you pick the right structure for your goals.
All proposed directors/partners need a Class 3 DSC, used to digitally sign incorporation documents filed with the Ministry of Corporate Affairs (MCA).
Each director needs a DIN, which can now be applied for directly within the incorporation form (SPICe+) rather than as a separate step.
Submit up to two proposed names via the RUN (Reserve Unique Name) service or as part of SPICe+ Part A. The name must be unique and not resemble an existing registered trademark.
Submit SPICe+ Part B along with MOA, AOA, address proof, and identity documents of directors/shareholders through the MCA portal.
Once approved, the Registrar of Companies (RoC) issues a Certificate of Incorporation along with PAN and TAN, usually within 7–10 working days of filing complete documents.
Use your Certificate of Incorporation, PAN, and board resolution to open a current account in the company's name.
File INC-20A (commencement of business), appoint a statutory auditor within 30 days, and maintain statutory registers as required under the Companies Act.
With complete documents in hand, Private Limited company registration typically takes 7–10 working days, and LLP registration 5–7 working days, subject to MCA processing times and name approval on the first attempt.
